Course objectives:
|
This main goal of this course it to provide a general overview of common law and continental law perception of business contracts and their regulation. It covers the negotiation, the content and form requirements, contract performance as well as the validity and enforceability. The course is geared towards providing students with a basic knowledge of all aspects of the business contract law and critical legal thinking, as well as with skills to draft of a contract, to monitor its performance and make strategic decisions, including educated decisions in negotiating, drafting and enforcing contracts. The course is though in English language.

1. Introduction to the class. 2. Nature, objective and sources of law, definition of contracts. 3. Common law v. Continental law and their approach to contracts. 4. Negotiation of contracts, content requirements. 5. Negotiation of contracts, form requirements. 6. Validity, interpretation,and enforcement of contracts. 7. UCC and other harmonization of contract regulation. 8. Contract drafting, analysis of judicial cases. 9. Contract drafting, analysis of judicial cases. 10. Team presentations. The course is though in English language.
